Agreement to Terms

By accessing or using the Blacktie Collaborative website and services, you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access our website or use our services.

Services Description

Blacktie Collaborative provides web design, development, SEO, digital marketing, automation, and business strategy services to businesses. Our services are provided on a project or consulting basis as agreed upon with each client.

Client Engagement Process

Initial Consultation

Our initial strategic call is provided to assess mutual fit. This consultation may include business analysis and strategic recommendations. The provision of this consultation does not create a binding agreement for ongoing services.

Service Agreements

Specific terms for project work, timelines, deliverables, and compensation will be outlined in a separate Service Agreement or Statement of Work for each engagement.

Client Responsibilities

Clients agree to:

  • Provide accurate and complete information about their business
  • Respond to requests for information or feedback in a timely manner
  • Provide necessary access to systems, accounts, and materials
  • Review and approve work within agreed-upon timeframes
  • Implement recommended strategies when feasible
  • Make timely payments as agreed

Our Commitments

Blacktie Collaborative commits to:

  • Provide strategic, operator-level business advice
  • Deliver high-quality technical work
  • Communicate openly and honestly about what will and won't work
  • Work diligently toward agreed-upon goals
  • Maintain confidentiality of client information

Intellectual Property

Client Materials

Clients retain all rights to materials they provide to us (logos, images, content, etc.). Clients grant us license to use these materials solely for the purpose of delivering contracted services.

Work Product

Upon full payment, clients receive ownership of the final deliverables created specifically for their project. We retain rights to reusable code, frameworks, and methodologies. We may showcase completed work in our portfolio unless otherwise agreed.

Warranties and Disclaimers

While we use our expertise and best efforts, we cannot guarantee specific business results (revenue, traffic, rankings, etc.). Success depends on many factors including market conditions, competition, implementation of strategies, and ongoing effort.

Our websites and applications are provided with reasonable care and skill. We will fix bugs and issues that arise from our work. However, we cannot guarantee that our work will be completely error-free or that websites will be compatible with all future browsers and technologies.

Limitation of Liability

To the maximum extent permitted by law, Blacktie Collaborative shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.

Payment Terms

Payment terms, project pricing, and schedules will be outlined in individual Service Agreements. Generally, we require a deposit before starting work and payment milestones throughout the project.

Project Changes and Scope

Changes to project scope, features, or requirements may affect timelines and costs. We will provide updated estimates for significant scope changes before proceeding.

Termination

Either party may terminate an engagement as outlined in the specific Service Agreement. Work completed up to the termination date will be invoiced and payable.

Confidentiality

We agree to maintain the confidentiality of proprietary business information shared by clients. Clients agree to maintain confidentiality of our methodologies, strategies, and proprietary processes.

Dispute Resolution

In the event of any dispute, both parties agree to first attempt resolution through good-faith negotiation. If negotiation fails, disputes shall be governed by the laws of Ontario, Canada.

Changes to Terms

We reserve the right to modify these terms at any time. We will notify clients of any material changes. Continued use of our services after changes constitutes acceptance of the modified terms.
